Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of ShipSaaSKit (the "Product"), a SaaS starter kit and boilerplate codebase, operated by Softopiax ("Company", "we", "us", or "our"), owned by Yeison Lapaix.

By purchasing, accessing, or using ShipSaaSKit, you ("User", "you", or "your") agree to be bound by these Terms. If you do not agree, do not purchase or use the Product.

2. Description of the Product

ShipSaaSKit is a production-ready SaaS starter kit and boilerplate that helps developers and businesses quickly build micro and medium-sized SaaS applications. The Product is delivered as access to a private GitHub repository containing the source code.

3. License

Upon purchase, we grant you a non-exclusive, non-transferable, non-sublicensable license to:

  • Access the ShipSaaSKit source code via the private GitHub repository.
  • Use the code to build unlimited projects for personal or commercial purposes.
  • Modify the code to fit your needs.

Restrictions

You may NOT:

  • Resell, redistribute, or share access to the ShipSaaSKit source code, whether modified or unmodified.
  • Share your GitHub repository access with anyone who has not purchased a license.
  • Create a competing product or template based on ShipSaaSKit for sale or free distribution.
  • Claim authorship of the original ShipSaaSKit codebase.
  • Remove or alter any copyright notices included in the code.

4. Updates and Support

Your purchase includes:

  • 1 year of maintenance updates and new features delivered through the GitHub repository.
  • 1 year of email support at support@shipsaaskit.com.

After the 1-year period, you retain full access to the code as it exists at that time, but will no longer receive updates or priority support unless you renew.

5. Payment and Pricing

Payments are processed securely through Stripe or Paddle. All prices are displayed at the time of purchase and may change as we add more features and value. Early purchasers benefit from lower pricing.

By completing a purchase, you authorize the payment processor to charge the amount shown at checkout.

6. Refund Policy

Due to the nature of digital products, all sales are final. Once access to the GitHub repository is granted, the code can be copied and used indefinitely. Therefore, we do not offer refunds or exchanges.

The only exception is for verifiable duplicate or incorrect payments. If you believe you were charged in error, contact us at support@shipsaaskit.com within 7 days of the transaction.

7. User Responsibilities

You are solely responsible for:

  • Any applications, products, or services you build using ShipSaaSKit.
  • Ensuring your use of the Product complies with all applicable laws and regulations.
  • Maintaining the security of your account credentials and GitHub access.
  • Any content, data, or user information processed by applications you build with ShipSaaSKit.

8. Disclaimer of Warranties

ShipSaaSKit is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that:

  • The Product will meet your specific requirements.
  • The Product will be error-free, secure, or uninterrupted.
  • Any bugs or defects will be corrected within a specific timeframe.

9. Limitation of Liability

To the maximum extent permitted by law, Softopiax and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Product.

Our total liability for any claim arising from or related to these Terms shall not exceed the amount you paid for the Product in the 12 months preceding the claim.

10. Intellectual Property

Softopiax retains all ownership rights, title, and interest in the ShipSaaSKit codebase, documentation, branding, and related materials. Your license grants usage rights only; it does not transfer ownership of any intellectual property.

11. Account Termination

We reserve the right to revoke your access to the GitHub repository and terminate your license if you violate these Terms, particularly the license restrictions in Section 3. In such cases, no refund will be provided.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Dominican Republic. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in Santo Domingo, Dominican Republic.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. Continued use of the Product after changes constitutes your acceptance of the revised Terms.

For significant changes, we will make reasonable efforts to notify you via email.
